Memvid Terms

These Terms define the baseline rules for using Memvid's enterprise search, connected-data, and AI workflow platform. They are written for business users and administrators, with signed customer agreements taking priority.

Customer data stays yours

Customers retain ownership of their content and choose which applications, users, connectors, and workflows are enabled.

Governed AI workflows

Memvid provides search, chat, summarization, and agent workflows with audit trails, source citations, and permission-aware retrieval.

1. Acceptance and scope

These Terms govern access to and use of Memvid websites, applications, APIs, connectors, search, chat, AI agents, administration tools, and related services unless a separate written agreement applies. By accessing Memvid, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

2. Enterprise agreements

  • Most Memvid customers use the service under an order form, master services agreement, data processing addendum, security addendum, or similar written agreement.
  • If there is a conflict between these Terms and a signed agreement with Memvid, the signed agreement controls for that customer and its authorized users.
  • If you are using Memvid through your employer or another organization, that organization may set additional rules, restrictions, retention periods, and access controls.

3. Accounts and administrators

  • You must provide accurate account information and keep credentials secure. You are responsible for activity under your account unless caused by Memvid's breach of these Terms.
  • Workspace administrators may invite users, assign roles, configure domains, connect applications, choose data scopes, manage retention, review audit logs, and disable access.
  • Memvid may refuse, suspend, or remove access if required by law, customer instruction, security risk, abuse, nonpayment, or violation of these Terms.

4. The Memvid service

Memvid is an enterprise AI platform for connecting customer-selected business applications, processing documents and records, preserving source permissions, searching organizational knowledge, generating answers and summaries, and running governed agent workflows. Features may vary by plan, deployment, customer configuration, and connected provider availability.

5. Customer content and permissions

  • Customers retain all rights in customer content. Memvid receives only the rights needed to host, process, index, secure, support, transmit, display, and otherwise provide the service according to customer instructions.
  • Customers are responsible for having the rights, notices, consents, and permissions needed to connect applications, upload content, invite users, and process data through Memvid.
  • Memvid is designed to respect tenant boundaries, workspace roles, and source-system permissions. Customers remain responsible for configuring source permissions and reviewing access before connecting data.
  • Memvid may generate embeddings, metadata, citations, summaries, audit records, sync state, and operational telemetry from customer content to provide and secure the service.

6. Connectors and third-party services

  • When a customer connects a third-party application, Memvid may access, sync, store, index, and process data from that application according to the scopes and configuration selected by the customer.
  • Third-party applications, identity providers, model providers, and customer-configured keys or gateways remain subject to their own terms, permissions, uptime, retention, security, and API limits.
  • Customers are responsible for maintaining valid credentials, provider approvals, admin consent, and accurate connector configuration.

7. AI outputs and user responsibility

  • Memvid may use third-party AI, embedding, OCR, document-processing, and model providers to deliver requested features. Customer content may be sent to those providers when necessary for the selected workflow.
  • AI outputs may be inaccurate, incomplete, delayed, or unsuitable for a particular use. Users should review outputs, citations, source material, and workflow actions before relying on them.
  • Memvid does not provide legal, financial, medical, employment, or other regulated professional advice. Customers are responsible for human review and approval where required.
  • Customers may not use Memvid to make automated decisions with legal or similarly significant effects unless they have implemented all required review, notice, consent, and compliance controls.

8. Acceptable use

  • Do not use Memvid to violate law, infringe rights, access data without authorization, bypass security, harvest credentials, transmit malware, spam, or perform harmful surveillance.
  • Do not reverse engineer, overload, scrape, benchmark for public competitive claims, resell, sublicense, or attempt to extract source code or non-public system information except as expressly permitted in writing.
  • Do not upload or process content that you do not have rights to use, or content that would require Memvid to meet obligations outside the written agreement or customer configuration.
  • Do not use Memvid outputs to impersonate people, deceive recipients, generate unlawful content, or execute actions without required authorization and review.

9. Security and support

Memvid maintains administrative, technical, and organizational safeguards designed to protect the service. Customers must promptly report suspected security issues, protect credentials, configure identity providers and source systems appropriately, and cooperate with reasonable security investigations. Support channels, service levels, incident notice targets, and security artifacts may be described in customer agreements or trust-center materials.

10. Fees, trials, and changes

  • Fees, payment terms, usage limits, renewal terms, and cancellation rights are set out in the applicable order form or purchase process.
  • Free trials, previews, beta features, and evaluation environments may be limited, changed, suspended, or discontinued at any time and may not include all production controls or commitments.
  • Memvid may modify features, provider integrations, models, user interfaces, and technical requirements as the service evolves, provided we do not materially reduce contracted commitments without the customer's consent where required.

11. Confidentiality and feedback

  • Non-public product, security, roadmap, pricing, benchmark, technical, and business information disclosed by either party should be treated as confidential unless a written agreement says otherwise.
  • If you provide suggestions, feedback, requests, or ideas, Memvid may use them without restriction or obligation, while respecting customer confidentiality and privacy commitments.

12. Suspension and termination

  • Memvid may suspend access to protect the service, comply with law, follow customer administrator instruction, address security risk, prevent abuse, or respond to nonpayment.
  • Upon termination, customer access to the service may end, and data return or deletion will be handled according to the applicable agreement, retention settings, legal requirements, backups, audit obligations, and support process.

13. Disclaimers

Except for commitments expressly stated in a written agreement, Memvid is provided on an as-is and as-available basis. Memvid does not warrant that the service will be uninterrupted, error-free, immune from all security incidents, or that AI outputs will be accurate, complete, or suitable for every purpose.

14. Limitation of liability

To the maximum extent permitted by law and unless a written agreement states otherwise, Memvid will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, or business opportunity. Any aggregate liability will be limited to the amount paid for the service giving rise to the claim during the period stated in the applicable agreement, or if no agreement applies, the twelve months before the event giving rise to the claim.

15. Updates to these Terms

Memvid may update these Terms from time to time. When we make material changes, we will update the date above and provide notice where required by law or customer agreement. Continued use after the effective date of updated Terms means you accept the updated Terms.
